Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and NERD, an AI advisory service operated by an independent sole proprietor based in North Carolina, United States ("NERD," "we," "us," or "our"). They govern your access to and use of nerdpilled.com, chat.nerdpilled.com, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.

NERD provides AI-powered advisory chat, playbooks, a personal and business knowledge base ("My Brain"), and related tools to help you think through business and product problems. The Service is provided for general informational and productivity purposes only. We may add, change, suspend, or remove features at any time.

We sign you in with a passwordless email link. You must provide accurate information, keep access to your email account secure, and you are responsible for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access.

Some features require a paid subscription. Our payments and checkout are handled by Lemon Squeezy, which acts as the merchant of record (the seller of record) for your purchase. Your purchase is therefore also subject to Lemon Squeezy's terms and privacy policy, and applicable taxes are calculated and collected by Lemon Squeezy. Subscriptions are billed in advance on a recurring basis and renew automatically until cancelled. You can cancel at any time through the customer portal (accessible from your receipt or by contacting us); cancellation stops future renewals, and you keep access until the end of the current billing period. We may change prices or plans, with changes applying to the next billing period. Except where required by law or expressly stated, payments are non-refundable, and you agree to contact us to resolve any billing issue before initiating a chargeback.

You retain ownership of the content you submit to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display Your Content as needed to operate, secure, and improve the Service and to provide it to you, including sending relevant context to AI and other providers as described in our Privacy Policy. We may use de-identified or aggregated data that does not identify you to analyze and improve the Service.

When you provide URLs, documents, or other source material, or research third parties through the Service, you represent and warrant that you have the right to provide that material and to have us process it, and that your submission and our processing of it will not violate any law or the rights of any third party. You are solely responsible for how you use information and outputs about other people.

NERD uses artificial intelligence. Outputs may be inaccurate, incomplete, biased, out of date, or otherwise inappropriate for your situation, and similar outputs may be generated for other users. You are responsible for reviewing outputs and for any decision or action you take based on them. NERD does not provide legal, financial, tax, medical, or other professional advice, and is not a substitute for a qualified professional.

You agree not to:

• Use the Service for any unlawful, harmful, deceptive, or abusive purpose
• Submit content you do not have the right to use, or that infringes or violates the rights of others
• Probe, scan, or test the vulnerability of, or breach or circumvent, any security or authentication measure
• Interfere with, disrupt, or place undue load on the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract source code, except where this restriction is prohibited by law
• Scrape or harvest the Service, or use it to build a competing product or to train a competing AI model
• Resell, sublicense, or provide the Service to third parties except as expressly permitted
• Use the Service to violate the privacy of, harass, or harm others

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation to you.

The Service, including its software, design, content, and trademarks, is owned by us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. We reserve all rights not expressly granted.

The Service relies on and may link to third-party services (for example LinkedIn and other sources, AI providers, and payment providers). We do not control and are not responsible for third-party services, and your use of them may be subject to their own terms.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any output will be accurate or reliable.

To the maximum extent permitted by law, NERD and its operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility. Our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim or one hundred U.S. dollars. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

You agree to indemnify and hold harmless NERD and its operator from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we reasonably believe your continued access poses a risk to the Service or others. Provisions that by their nature should survive termination (for example, ownership, disclaimers, limitation of liability, and indemnification) will survive.

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws rules. Before filing a claim, you agree to first contact us and try to resolve the dispute informally for at least 30 days. If we cannot resolve it, you and we agree to the exclusive jurisdiction of the state and federal courts located in North Carolina, and you consent to personal jurisdiction there. Any claim must be brought within one year after it arises, to the extent permitted by law.

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date below and may notify you through the Service. Your continued use after changes take effect means you accept the updated Terms.

These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. We may provide notices to you through the Service or by email.
